Terms of Service
These Terms of Service (the “Terms”) govern your access to and use of Vendify360, a cloud-based Point of Sale and business management Software-as-a-Service (SaaS) platform developed by GWC Tech Hub LLC (“Vendify360”, “we”, “our”, or “us”).
By accessing, registering for, or using Vendify360 through our website, mobile applications, POS devices, APIs, or related services (collectively, the “Services”), you agree to be legally bound by these Terms. If you do not agree, you must not use the Services.
1. Eligibility and Account Registration
1.1 You must be at least 18 years old and have the legal capacity to enter into a binding contract to use Vendify360.
1.2 You agree to provide accurate, complete, and up-to-date information during account registration and to keep such information current.
1.3 You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.
2. Scope of Services
Vendify360 provides vendors and businesses with tools, including but not limited to:
- Point of Sale (POS) transaction processing
- Inventory and product management
- Sales analytics and reporting
- Customer management and marketing tools
- Cloud-based business management features
Vendify360 does not guarantee uninterrupted availability and reserves the right to modify, suspend, or discontinue any feature of the Services at any time.
3. Subscription Plans and Fees
3.1 Vendify360 operates on a subscription-based SaaS model. Pricing, features, and billing cycles are displayed on our website or provided in a written agreement.
3.2 Subscription fees are billed in advance and are non-refundable, except as expressly stated in our Refund Policy.
3.3 Failure to pay applicable fees may result in suspension or termination of your account.
4. Vendor Responsibilities
By using Vendify360, you agree to:
- Use the Services solely for lawful business purposes.
- Ensure compliance with all applicable laws, regulations, and tax obligations.
- Maintain accurate sales, inventory, and customer data.
- Obtain necessary customer consents where required.
- Not misuse, reverse engineer, or interfere with the platform
You are solely responsible for your business operations and transactions conducted using Vendify360.
5. Data Ownership and License
5.1 Your Data: You retain full ownership of all business data, customer data, and content you input into Vendify360.
5.2 License to Vendify360: You grant Vendify360 a limited, non-exclusive, royalty-free license to host, process, and display your data solely for the purpose of providing the Services.
5.3 Vendify360 may use aggregated and anonymized data for analytics, benchmarking, and service improvement.
6. Data Protection and Privacy
Vendify360 processes personal data in accordance with its Privacy Policy, which forms an integral part of these Terms.
You are responsible for ensuring that any personal data you collect and process through Vendify360 complies with applicable data protection laws.
7. Acceptable Use
You must not:
- Use the Services for fraudulent, illegal, or deceptive activities.
- Upload malicious code or attempt unauthorized access.
- Interfere with system security or performance.
- Use Vendify360 to infringe intellectual property rights
Vendify360 reserves the right to investigate and take appropriate action against violations.
8. Third-Party Services
Vendify360 may integrate with third-party services such as payment processors, SMS providers, or analytics tools. Vendify360 is not responsible for the availability, performance, or content of such third-party services.
Your use of third-party services is subject to their respective terms and policies.
9. Intellectual Property Rights
All rights, title, and interest in Vendify360, including software, trademarks, logos, designs, and documentation, are owned by GWC Tech Hub LLC.
You are granted a limited, non-transferable, non-exclusive license to use Vendify360 during your subscription term.
10. Service Availability and Support
Vendify360 aims to provide reliable Services, but does not guarantee uninterrupted or error-free operation.
Maintenance, updates, or unforeseen technical issues may result in temporary service interruptions.
11. Termination and Suspension
11.1 You may terminate your account at any time by following the account closure process.
11.2 Vendify360 may suspend or terminate your access immediately if:
- You breach these Terms.
- You fail to pay the applicable fees.
- Your use poses a security or legal risk
11.3 Upon termination, your access to the Services will cease, subject to applicable data retention obligations.
12. Disclaimers
Vendify360 is provided on an “as-is” and “as-available” basis.
We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of Liability
To the maximum extent permitted by law, Vendify360 and GWC Tech Hub LLC shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
Our total liability shall not exceed the fees paid by you in the three (3) months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Vendify360 and GWC Tech Hub LLC from any claims, damages, or liabilities arising from:
- Your misuse of the Services
- Violation of applicable laws
- Breach of these Terms
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
16. Amendments
Vendify360 reserves the right to modify these Terms at any time. Updated versions will be posted on our platform, and continued use constitutes acceptance.
17. Entire Agreement
These Terms, together with the Privacy Policy and any additional policies, constitute the entire agreement between you and Vendify360.
